What is the nature of the Ardent Leisure Group?

Ardent Leisure trades on the Australian Stock Exchange under the AAD ticker. AAD is a stapled security which comprises one unit in Ardent Leisure Trust (“Trust” or “ALT”), stapled to one share in Ardent Leisure Limited (“the Company” or “ALL”).

The Trust is a registered managed investment scheme under the Corporations Act.

The Company leases assets from the Trust and carries on operational business activities.

Ardent Leisure Management Limited (“ALML”), a wholly owned subsidiary of the Company, is the Responsible Entity of the Trust.

What’s the difference between a dividend and a distribution?

Dividends are paid to shareholders by companies like Ardent Leisure Limited out of their profits.

Distributions are paid to investors by trusts, like the Ardent Leisure Trust. For tax return purposes, distributions are usually made up of income – for example, rental income – and may also include a capital payment to investors – for example, if a property was sold.

AAD security holders have historically been paid distributions by the Trust, however a dividend by the Company was paid in February 2015.

The tax components of distributions paid by the Trust, which security holders require to complete their tax returns are advised in an annual tax statement and are also provided in the Distributions section on the MIT Statement and Tax Information page on this website.

When are dividends/distributions paid?

Dividends/distributions are payable half yearly and received by investors approximately seven weeks after half year end. Approximate distribution payment dates can be found on our Corporate Calendar.

How do I have payments made directly to my bank or building society?

If you are an individual holder you can update your details online at the registry’s website. All other issuer sponsored investors (joint holder, companies, etc.,) need to complete and sign the request credit of payments form (PDF) and forward by mail to the security registry. Please note the account name provided must be in the name of the registered security holder.

Does Ardent Leisure have a distribution reinvestment plan (DRP)?

Yes. The DRP allows security holders to have their distributions reinvested in additional securities in Ardent Leisure, rather than having their distributions paid to them. The DRP price for new securities is currently calculated at a 2.0% discount to the average volume weighted average market price of AAD Group securities recorded on the ASX and Chi-X during the ten business days commencing on the second business day following the Record Date of the income period to which the distribution relates. The Company may at the Board’s discretion suspend or activate the DRP by general announcement to the ASX.

How is Ardent Leisure security allocated for Capital Gains Tax (CGT)?

For CGT purposes, a unit in the Trust and a share in the Company are two separate assets. If security holders dispose of their Ardent Leisure investment, they will need to prepare separate CGT calculations for each of their investments in the Trust and the Company.

The table provided in the Allocation of Cost Base section on the MIT Statement and Tax Information page on this website will help security holders split their Ardent Leisure Stapled Security acquisition cost and sales proceeds between a unit in the Trust and a Share in the Company.

How do I change my address?

If you are an individual holder, you can do this online at the registry’s website. All other issuer sponsored investors (joint holders, companies, etc) should complete a change of address form and forward by mail to the security registry.

For security reasons, changing your address details is not available to broker-sponsored security holders. You will need to advise your broker of any change.

How do I change my name?

You can change your name by completing a name correction request and indemnity form (PDF) and forward by mail to the security registry.

Please note that the security registry is unable to accept change of name requests by facsimile, email or phone. The completed form should be completed and signed correctly and accompanied by relevant supporting documentation. If you are signing under a power of attorney, a certified copy of the original power of attorney must be lodged with the security registry for noting (if not already noted). Supporting documentation requirements differ, depending on the reason for the change of name.

For security reasons, this facility is not available to broker-sponsored security holders. You will need to advise your broker of any change.

When will I receive my Annual Tax Statement?

A tax statement for the tax year to 30 June is mailed to all security holders who have held an investment in Ardent Leisure during that tax year. The tax statements are mailed to investors in August each year. The tax statement summarises the distributions paid during the year and includes information required to complete your annual tax return. To view and download your latest tax statement visit the registry’s website and go to the investors page. You will need your SRN or HIN along with your surname and postcode to log in.

How can I give notification of my Tax File Number (TFN)?

Advice of TFNs can be made by downloading the tax file number or Australian business number notification form (PDF) and forward by mail to the registry. You may choose not to provide your TFN, however if you do not provide your TFN your distribution will be taxed at the highest marginal rate.
